Terms of Service

The agreement

These terms are a contract between you, or the company you represent, and HushThrive SRL. By creating an account or using Kooga you accept them. If you are accepting on behalf of a company you confirm you are authorised to bind it.

The service

Kooga is a marketing platform for online stores. It generates and publishes content, tracks visibility in AI assistants and search, operates a storefront assistant, sends marketing email, and reports on analytics and advertising you connect.

We improve the service continuously. We may add, change or remove features. If we remove something you rely on materially, we will give you reasonable notice.

Your account

You are responsible for what happens under your account, for keeping credentials secure, and for the accuracy of what you give us. Tell us promptly at security@kooga.io if you suspect unauthorised access.

Workspaces support multiple members with roles. The workspace owner is responsible for who they invite and what those members do.

Plans, trial and billing

Every plan starts with a 14 day trial on the Essentials plan's allowances, with no card required.

Paid plans are billed in advance, monthly or annually, in euro. Each plan includes monthly allowances that reset at the start of each cycle and do not roll over. Upgrades take effect immediately and downgrades at the end of the current cycle.

Fees are non refundable except where the law requires otherwise. If a payment fails we may suspend the service after notifying you. You can cancel at any time and your plan runs to the end of the paid period.

Your content

Everything you connect or create stays yours. You grant us only the licence we need to operate the service for you: to store, process, transmit and display your content, and to send it to the model providers that generate your content and answers.

You are responsible for having the rights to what you upload, and for the content that is published to your own site, sent from your own domain, or shown to your own shoppers.

Content generated by AI

Kooga uses AI models to draft articles, emails and answers. AI output can be wrong. You are responsible for reviewing what is published or sent, especially claims about price, stock, shipping, returns and anything regulated. The Rules page exists so you decide how much runs without your approval, and every automated action is logged with its reason.

Acceptable use

You agree not to do any of the following.

• Break the law, or use Kooga to publish or send unlawful, deceptive, hateful or infringing content.
• Send email to people who have not agreed to hear from you, or import lists you did not collect yourself.
• Attempt to access another workspace, probe our systems without permission, or bypass rate limits and allowances.
• Resell or white label the service without a written agreement with us.
• Use the service to build a competing product, or to train a model on our outputs.

Third party services

Kooga connects to services such as Shopify, WooCommerce, Google, Meta and TikTok. Your use of those services is governed by their own terms. We are not responsible for their availability, their pricing, or changes they make to their APIs. If a provider withdraws access, the related Kooga feature may stop working.

Availability and support

We work to keep Kooga available and fast, but we do not offer a guaranteed uptime commitment on standard plans. Planned maintenance is announced where practical. Support is by email, in Romanian and English, during Romanian business hours.

Liability

To the extent the law allows, Kooga is provided as is and we are not liable for indirect or consequential loss, lost profit, lost revenue or lost data. Our total liability in any twelve month period is limited to the fees you paid us in that period.

Nothing in these terms limits liability that cannot lawfully be limited, including for death, personal injury, fraud or intentional misconduct, and nothing limits the statutory rights of a consumer.

Suspension and termination

You may close your account at any time. We may suspend or terminate an account that breaches these terms, that puts the service or other customers at risk, or that has not paid. Where circumstances allow we will warn you first and give you a chance to fix the problem.

After termination you can export your data for 30 days. After that we delete it as described in the Privacy Policy.

Governing law

These terms are governed by Romanian law. Disputes fall to the competent courts of Bucharest, Romania. If you are a consumer you keep the protection of the mandatory rules of your country of residence and may use the European Commission's online dispute resolution platform.

Changes to these terms

We may update these terms. If a change is material we will notify account holders by email at least 30 days before it takes effect. Continuing to use Kooga after that means you accept the new terms.
